Terms of Service

These Terms of Service govern your use of MightyCrews (mightycrews.com): the website, the MightyCrews app, and the customer pages and features made available through it.

• MightyCrews is owned and operated by Cloudline Software Ltd. (formerly ReviewTec Software Ltd.), an Alberta corporation ("we", "us", "our"). MightyCrews is a registered trade name of Cloudline Software Ltd.
• Our Privacy Policy explains how we handle personal information, and our Text Messaging Terms cover texts sent through MightyCrews.

By creating an account or using MightyCrews, you agree to these Terms. If you are agreeing for a business, you confirm you are allowed to bind that business, and "you" means the business.

1. What MightyCrews is

MightyCrews is software for service businesses:

• inquiries, quotes, jobs, scheduling, invoices and payments;
• customer messages by email and text;
• online booking, an online store, a customer portal and reports;
• connections to other services such as QuickBooks Online and Xero.

We provide the software. We don't perform, supervise or guarantee the work a business does for its customers, and we're not a party to any agreement between a business and its customers.

2. Accounts

• You need an account to use MightyCrews.
• Give accurate information and keep your sign-in details secure.
• You're responsible for what happens under your account, including the people you invite. Remove access for anyone who should no longer have it.
• Tell us at support@mightycrews.com if you think your account has been used without permission.

3. Plans, free trial, billing and cancellation

• Plans. Our plans are Free, Full Suite and Full Suite Plus.
  • What each includes and its price are on our Pricing page and at checkout.
  • Paid plans are priced per field worker each month; office staff are free.
  • Prices are in Canadian or US dollars as shown, and applicable taxes are added.
• Free trial. New businesses get a 30-day trial of Full Suite, with no card required. If you don't choose a paid plan by the end of the trial, your account continues on the Free plan.
• Billing. Paid plans are billed monthly in advance through our payment processor, Stripe, and renew each month until you cancel. When the number of field workers changes, the next bill reflects it.
• Cancellation. You can cancel or change plans at any time in Settings. A paid plan stays active until the end of the period you've paid for. We don't give refunds for partial months or unused time, except where the law requires it.
• Price changes. We'll tell you by email before a price change applies to you, and you can cancel before it takes effect.
• Failed payments. If a payment fails and isn't fixed within 7 days, the account moves to the Free plan until it is.
• Website. A MightyCrews website is an add-on on any plan, billed monthly on its own. Your first website plan has 14 days free. When you cancel it, your website stays up until the end of the period you've paid for, then goes offline. If a website payment fails and isn't fixed within 7 days, the website goes offline until it is.

4. Card payments from your customers

• MightyCrews lets you take card payments from your customers through Stripe.
• To do so, you connect your own Stripe account and accept Stripe's terms.
• Payments go to your Stripe account. You are the merchant, and Stripe's fees and payout schedule apply.
• MightyCrews charges a platform fee of 0.5% of each online payment, never more than $99 a calendar month (in your business's currency), on every plan. It's deducted through Stripe. Once you reach $99 in a month, only Stripe's fees apply for the rest of that month.
• When you refund a payment, the matching share of our fee is returned.
• You're responsible for your prices, taxes, refunds, chargebacks and disputes with your customers.

5. Texting and email

• Texts are sent from your business's own number and are part of Full Suite Plus.
• You may only text and email your own customers about their work with you, or as they've agreed to, and you must follow the Text Messaging Terms and the law. That includes Canada's Anti-Spam Legislation and, in the US, the TCPA and CAN-SPAM.
• Texts are for your customers about their work: no marketing to lists, no links to other sites, no personal chat. We may hold or stop texting that looks like spam.
• Texting has a fair-use level, explained on the Pricing page. To protect your number, sending pauses for the rest of the month at three times fair use. We never charge for extra texts without your agreement.

6. Your data and your customers' data

• Your data stays yours. You own the information you and your team put into MightyCrews, including your customers' details ("Your Data").
• You give us permission to host, copy, process and display Your Data only as needed to provide, secure and support MightyCrews for you, and as our Privacy Policy describes.
• We don't sell Your Data or use your customers' information for our own marketing.
• Your responsibilities. You're responsible for:
  • having the right to put your customers' information into MightyCrews;
  • giving them any privacy notices the law requires;
  • answering their requests about their information. We'll help where we can.
• Exporting. You can export your data while your account is open. After you cancel a paid plan or close your account, you keep read-only access and can export for 90 days. We remind you by email at 60 and 85 days, then delete Your Data, except records we must keep for tax and accounting.

7. Connections to other services

• You can connect MightyCrews to other services, such as Stripe, QuickBooks Online, Xero and Google sign-in.
• When you do, you authorize us to exchange the information that connection needs, and you agree to that service's own terms. You can disconnect at any time.
• We aren't responsible for other services or their availability, and a change on their side may affect what MightyCrews can do with them.

8. Writing help

• MightyCrews can suggest wording, such as for a quote description or a message, using an AI service provider.
• Only the text you ask for help with is sent, and only if your business has writing help switched on.
• Suggestions can be wrong. Check them before you use them.
• If you have a MightyCrews website, we write its first draft and its sample pictures with an AI service provider, from the answers you give us.
• You're responsible for what your website says and shows once you publish it, including words and pictures we drafted for you.

9. Acceptable use

You agree not to:

• use MightyCrews for anything unlawful, deceptive or harmful;
• send spam or messages to people who haven't agreed to receive them;
• upload malware, or try to get into accounts or systems that aren't yours;
• copy, resell or reverse engineer MightyCrews, or scrape it;
• overload the service, or get around its limits or security.

We may suspend or close an account that breaks these rules, puts others at risk, or is needed to comply with the law. We may also take a website offline if it breaks the law or these Terms. Where we reasonably can, we'll tell you first and give you a chance to fix it.

10. Our software

MightyCrews, including its design, software and content, belongs to us or our licensors. While you follow these Terms, we give you a limited, non-transferable right to use it for your business. Feedback you send us may be used to improve MightyCrews without obligation to you.

11. Availability and changes

• We work to keep MightyCrews available and secure, but we can't promise it will always be available or error-free.
• We may change, add or remove features. If we remove a major paid feature you rely on, we'll let you know in advance.

12. Disclaimer

MightyCrews is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Calculations such as taxes, totals and reports are tools to help you; you remain responsible for your own pricing, tax filings and records.

13. Limitation of liability

• To the fullest extent the law allows, neither we nor our owners, staff or service providers are liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.
• Our total liability for any claim relating to MightyCrews is no more than the greater of what you paid us in the 12 months before the claim arose, or US $100.

14. Indemnity

You agree to cover us against claims, losses and reasonable legal costs arising from:

• your use of MightyCrews;
• your messages to your customers;
• your work for your customers;
• your breach of these Terms or of the law.

15. Changes to these Terms

We may update these Terms. We'll change the "Last updated" date, and for significant changes we'll tell account owners by email or in MightyCrews before they take effect. Using MightyCrews after that means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict of laws rules. The courts of Alberta have exclusive jurisdiction, except where the law where you live gives you the right to bring a claim in your local courts. Nothing in these Terms limits rights that can't be waived by law.

17. General

• If any part of these Terms can't be enforced, the rest stays in effect.
• Not enforcing a provision isn't a waiver of it.
• These Terms, the Privacy Policy, the Text Messaging Terms and the plan details shown at checkout are the whole agreement between you and us about MightyCrews.
